PLEASE READ THESE TERMS OF SERVICE CAREFULLY. By accessing or using the Jab We Wed platform, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the platform.

Jab We Wed, Inc ("JWW," "we," "us," or "our") is a Delaware limited liability company operating an online marketplace that connects South Asian couples planning weddings with wedding vendors ("Platform"). These Terms govern your access to and use of the Platform, including all related websites, applications, and services.

1. Definitions

"Couple" means any individual or pair using the Platform to discover, research, or contact wedding vendors.

"Vendor" means any business or individual registered on the Platform to offer wedding-related products or services.

"User" means any person accessing the Platform, including Couples, Vendors, and visitors.

"Lead" means an inquiry submitted by a Couple expressing interest in a Vendor's services, as further defined in JWW's Lead Submission Policy.

"Content" means any text, photos, videos, reviews, messages, or other materials submitted to the Platform by Users.

"Vendor Agreement" means the separate agreement entered into by Vendors upon registration, governing billing, lead delivery, and marketplace participation.

2. Eligibility and Account Registration

2.1 Eligibility

You must be at least 18 years of age to create an account or use the Platform. By using JWW, you represent and warrant that you meet this requirement and that you have the legal capacity to enter into a binding agreement.

Vendors represent and warrant that they are duly authorized to conduct business in the jurisdiction(s) in which they offer services and that all information provided during registration is accurate and current.

2.2 Account Registration

To access certain features of the Platform, you must create an account. You agree to:

Provide accurate, complete, and current registration information
Maintain the security of your account credentials
Notify JWW immediately of any unauthorized access to your account
Accept responsibility for all activity that occurs under your account

JWW reserves the right to refuse registration, suspend, or terminate any account at its sole discretion.

2.3 One Account Per User

Vendors may not create multiple accounts to circumvent suspensions, billing, or Platform policies. Couples may not create accounts for the purpose of submitting fraudulent or bad-faith inquiries.

3. Platform Description and Scope

JWW is a marketplace platform. We provide the technology and infrastructure for Couples to discover Vendors and submit inquiries, and for Vendors to list their services and receive Leads. JWW is not a party to any agreement between a Couple and a Vendor, does not perform wedding services, and does not guarantee the quality, safety, or legality of any vendor's services.

JWW does not endorse any Vendor listed on the Platform. Couples are solely responsible for independently verifying the credentials, reviews, and suitability of any Vendor before entering into a contract.

4. Vendor Terms

4.1 Vendor Registration and Listings

Vendors may register on the Platform at no cost. By registering, Vendors agree to these Terms, the Vendor Agreement, the Lead Submission Policy, and the Acceptable Content & Community Standards Policy, all of which are incorporated herein by reference.

Vendors are solely responsible for the accuracy and completeness of their listings, including service descriptions, pricing, photos, and geographic availability. Misrepresentation of services is grounds for immediate account termination.

4.2 Pay-Per-Lead Billing

Vendors on the pay-per-lead model are charged per Lead delivered to their dashboard. By registering a payment method with JWW, Vendors authorize JWW to charge their saved payment method for each Lead delivered in accordance with the current Lead pricing schedule.

Lead charges are non-refundable except as expressly provided in the Lead Submission Policy. Disputes must be submitted within seven (7) calendar days of Lead delivery.

4.3 Subscription Plans

JWW offers optional subscription plans providing featured placement, expanded category or city visibility, and other benefits. Subscription terms, pricing, and renewal conditions are set forth in the Vendor Agreement. Subscriptions auto-renew unless cancelled prior to the renewal date.

4.4 Vendor Conduct

Vendors agree to:

Respond to Leads in a timely and professional manner
Honor quoted pricing and service representations made to Couples
Not solicit Couples to transact entirely off-platform in violation of these Terms
Not submit fake reviews, inflate ratings, or manipulate the Platform's review system
Comply with all applicable laws governing their services, including licensing, insurance, and consumer protection requirements

5. Couple Terms

5.1 Use of the Platform

Couples may browse the Platform and submit Lead inquiries at no charge. By submitting a Lead, Couples agree to the Lead Submission Policy, including consent to share their contact information with selected Vendors and to receive marketing communications from JWW as described therein.

5.2 Couple Conduct

Couples agree to:

Submit inquiries only with genuine intent to explore vendor services
Provide accurate contact and event information in all Lead submissions
Not submit duplicate, fraudulent, or bad-faith inquiries
Treat Vendors with professionalism in all Platform communications

5.3 Vendor Relationships

Any contract, agreement, or transaction between a Couple and a Vendor is solely between those parties. JWW is not responsible for the performance of any Vendor, the outcome of any event, or any dispute arising from a Couple-Vendor relationship. Couples assume all risk associated with engaging any Vendor discovered through the Platform.

6. Content and Intellectual Property

6.1 User Content

Users retain ownership of Content they submit to the Platform. By submitting Content, Users grant JWW a non-exclusive, worldwide, royalty-free, sublicensable license to use, display, reproduce, distribute, and adapt the Content for the purposes of operating, promoting, and improving the Platform.

Users represent and warrant that they own or have the rights to all Content they submit and that such Content does not infringe any third-party intellectual property rights.

6.2 JWW Intellectual Property

All Platform technology, branding, design, software, and proprietary content — including the Jab We Wed name, logo, and trademarks — are the exclusive property of JWW. Users may not reproduce, distribute, or create derivative works from JWW's intellectual property without express written consent.

6.3 Content Standards

All Content submitted to the Platform must comply with JWW's Acceptable Content & Community Standards Policy. JWW reserves the right to remove any Content that violates its policies, without notice and without liability.

7. Prohibited Conduct

In addition to the prohibitions set forth in JWW's Acceptable Content & Community Standards Policy, all Users are prohibited from:

Using the Platform for any unlawful purpose or in violation of any applicable laws or regulations
Scraping, crawling, or data-mining the Platform without JWW's express written permission
Using automated tools, bots, or scripts to interact with the Platform
Attempting to gain unauthorized access to any part of the Platform or another User's account
Interfering with or disrupting the integrity or performance of the Platform
Circumventing any technical measures JWW uses to enforce these Terms
Using the Platform to collect User data for purposes outside the scope of these Terms
Reverse engineering, decompiling, or disassembling any part of the Platform

8. Payments and Billing

8.1 Payment Authorization

By saving a payment method on the Platform, Vendors authorize JWW to charge that payment method for Lead fees, subscription charges, and any other applicable fees in accordance with the Vendor Agreement and these Terms.

8.2 Taxes

Vendors are responsible for determining and remitting all applicable taxes arising from their use of the Platform and their transactions with Couples. JWW is not responsible for calculating, collecting, or remitting taxes on behalf of any Vendor.

8.3 Refund Policy

Lead fees are non-refundable except as expressly provided in the Lead Submission Policy. Subscription fees are non-refundable except as required by applicable law. JWW may, at its sole discretion, issue platform credits in lieu of cash refunds.

9. Privacy

JWW's collection, use, and sharing of personal information is governed by JWW's Privacy Policy, available at jabwewed.com/privacy, which is incorporated into these Terms by reference. By using the Platform, you consent to the data practices described in the Privacy Policy.

10. Disclaimers and Limitation of Liability

10.1 Platform Provided "As Is"

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. JWW DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

10.2 No Warranty on Vendor Services

JWW MAKES NO REPRESENTATIONS OR WARRANTIES REGARDING THE QUALITY, SAFETY, LEGALITY, OR SUITABILITY OF ANY VENDOR OR VENDOR SERVICES. COUPLES USE THE PLATFORM AND ENGAGE VENDORS AT THEIR OWN RISK.

10.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, JWW AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL JWW'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO JWW IN THE ONE (1) MONTH PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

10.4 Indemnification

You agree to indemnify, defend, and hold harmless JWW and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses — including reasonable attorneys' fees — arising out of or related to your use of the Platform, your Content, your violation of these Terms, or your violation of any applicable law.

11. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

11.1 Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms, the Platform, or your relationship with JWW — including disputes regarding the formation, interpretation, breach, or termination of these Terms — shall be resolved exclusively through final and binding arbitration, rather than in court.

Arbitration shall be administered by the American Arbitration Association ("AAA") under its Consumer or Commercial Arbitration Rules, as applicable, and shall take place in Wilmington, Delaware, or at a mutually agreed upon location. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

11.2 Waiver of Class Actions

YOU AND JWW EACH WAIVE THE RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. ALL DISPUTES MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

11.3 Opt-Out

You may opt out of this arbitration agreement by sending written notice to legal@jabwewed.com within thirty (30) days of first accepting these Terms. Opting out does not affect any other provision of these Terms.

11.4 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. To the extent any dispute is not subject to arbitration, you consent to exclusive jurisdiction in the state and federal courts located in Wilmington, Delaware.

12. Term and Termination

These Terms remain in effect for as long as you use the Platform. JWW reserves the right to suspend or terminate your account and access to the Platform at any time, for any reason or no reason, with or without notice.

Upon termination, all licenses granted to you under these Terms will immediately cease. Sections 6, 7, 10, 11, and 13 shall survive termination of these Terms.

You may terminate your account at any time by contacting JWW at legal@jabwewed.com. Termination does not relieve Vendors of outstanding payment obligations for Leads delivered prior to termination.

13. General Provisions

13.1 Entire Agreement

These Terms, together with the Vendor Agreement (where applicable), the Lead Submission Policy, the Acceptable Content & Community Standards Policy, and the Privacy Policy, constitute the entire agreement between you and JWW with respect to the Platform and supersede all prior agreements and understandings.

13.2 Severability

If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force and effect.

13.3 Waiver

JWW's failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

13.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without JWW's prior written consent. JWW may assign these Terms freely, including in connection with a merger, acquisition, or sale of assets.

13.5 Updates to Terms

JWW reserves the right to update these Terms at any time. Material changes will be communicated via email or platform notification at least fourteen (14) days before taking effect. Continued use of the Platform following notice of changes constitutes acceptance of the updated Terms.
